Borderless Platform Terms

There is no separate service agreement to sign on top of this. This document is the agreement for the platform, and it is written to be read rather than filed.

What this document is

  • These are the Borderless Platform Terms. They set out the relationship between you and Borderless, what we do with your data, and how hours become money.
  • They are written to be read. There is no separate service agreement to sign on top of this โ€” this document is the agreement for the platform.
  • Version 2026-09-15. The version you accept is stored with your acceptance and you can read it again at any time from your dashboard.

You created this account yourself

  • You opened the Borderless signup page and created this account. Nobody at Borderless has engaged you and no client has asked for you.
  • Accepting these terms creates no engagement, no assignment, no rate and no promise of work. It gives you an account and nothing else.
  • You cannot log billable hours or be paid until Borderless places you with a client. When that happens the engagement โ€” the client, your role, your rate and your start date โ€” appears in your dashboard before it begins, and you will be asked to confirm it there.
  • Anything said in a conversation, a call or a message before today is not part of this agreement. What binds us is this document and the engagement you are later shown.
  • If you are here because somebody told you to sign up, stop and ask them for an invitation instead. An invitation carries your engagement with it; a self-created account does not, and the two are easy to confuse later.

What this is, and what it is not

  • Borderless places you with a client and handles the administration around it: your hours, your invoice, and your payment.
  • You are an independent contractor. This is not an employment contract with Borderless and not an employment contract with the client. You are not our employee and you do not become theirs.
  • You decide how you do the work, within what the engagement asks for and the hours it is based on.
  • Your own taxes and social contributions are yours to declare and pay in the country where you live. Borderless does not withhold them for you and cannot advise you on them.
  • You may work for others, unless your engagement says otherwise in writing and you agreed to that.

Your hours

  • From 26 September 2026 hours are logged in the Borderless tracker. Hours you logged in Clockify before then are kept and still count; both are read together and no day is counted twice.
  • Log your hours on the day you work them. An hour that is never logged is an hour nobody can bill or pay.
  • Hours are counted in your own local day, not in UTC, using the timezone on your profile. If that timezone is wrong, tell us โ€” it moves your hours between days and between cycles.
  • Each month carries an expected total: the working days in the cycle at eight hours, less any approved leave. Going past it is not forbidden and does not need approval. Your client is told when it happens so they can plan, and the notice says on its face that nothing is on hold.
  • Every hour is paid at the same rate. 'Overtime' on your screen is a count, not a different rate.
  • We may ask you to correct an entry that is plainly wrong โ€” a timer left running overnight, a day logged twice. We tell you when we do, and the correction is visible to you.

What you are paid, and when

  • You are paid the rate on your engagement, for the hours you logged, or the fixed monthly amount if that is what your engagement says.
  • Borderless charges the client a management fee on top of what you are paid. That fee is between Borderless and the client. It is not taken out of your rate and it does not reduce what you receive.
  • A cycle runs from the 26th of one month to the 25th of the next. When it closes we produce a statement of what you are owed and ask you to confirm it.
  • That statement is a self-billed invoice: it is an invoice from you to Borderless, which we prepare on your behalf from your own hours, and it says so on its face. You may need it for your own tax filing, so download it.
  • If you do not answer within seven days we close the statement as accepted without your signature and pay it. Not answering does not delay your money.
  • If you think a statement is wrong, say so before confirming it. A correction after the fact is a second document, never an edit to the one you already have.
  • Payment is made to the details you give us. If they are wrong or out of date the payment can fail and we cannot recover it for you.
  • Because Borderless pays from the United States, we have to hold the right US tax form for you before we can pay: a W-8BEN if you are an individual outside the US, a W-8BEN-E if you invoice through a company outside the US, and a W-9 if you are a US person. We tell you which one applies to you and we ask for it once.
  • That form is a reporting requirement on us. It is not us advising you on your own taxes, which we cannot do, and holding it does not make you a US taxpayer.
  • Before you can log time or be paid, your government identity document must be on file. That is a legal requirement on us, not a formality.

What you make

  • Work you produce for a client in the course of an engagement belongs to that client once it is paid for.
  • What you knew, owned or built before the engagement stays yours. Using your own general skill, knowledge and tools on the next engagement is not something this takes away.
  • Do not put a client's material into a third-party tool that keeps it, unless that client has said you may.

Ending an engagement

  • Either side can end an engagement on the notice the engagement states. If it states none, thirty days.
  • Hours worked up to the end date are paid in the ordinary cycle. Ending does not forfeit them.
  • Your account and your records stay available to you after the engagement ends so you can read your own history.
  • We can suspend an account immediately where there is fraud, a serious breach of confidentiality, or a legal requirement. We tell you why.

Your account

  • The account is yours and is not to be shared. The password is set by you; Borderless never has it and cannot read it.
  • Keep the email address on the account current. Everything that matters โ€” an invitation, a statement to approve, a notice that your hours have gone past the expected total โ€” is sent there.
  • A Borderless administrator can look at the platform through your account to help you or to investigate a problem. That view is read-only: nothing can be signed, submitted, approved or logged as you. Every one of those views is recorded.

Your data, and who sees it

  • What we hold: your name, contact details, address, date of birth, nationality and country, the government identity document you upload, your tax identification where you give it, your bank or payment details, your engagement terms, your logged hours and your leave.
  • Why we hold it: to place you with a client, to work out what you are owed, to pay you, to invoice the client, and to meet the tax and record-keeping rules of the countries involved.
  • Identity documents are held encrypted and are reachable only by Borderless staff whose role grants it. A client never sees them.
  • What a client sees about you: your name, your role, your country, the hours you logged for them, your leave for their planning, and what those hours cost them. A client does not see the rate Borderless pays you, your identity document, your tax classification, your address or your date of birth.
  • What we never do: sell your data, or hand it to anyone outside Borderless and your own client except where a law or a tax authority requires it, or where a service we use to run the platform needs it to do its job โ€” hosting, email delivery, and payment processing.
  • You may ask for a copy of what we hold about you, ask for a correction, or ask us to delete it. Some records have to be kept after you leave โ€” invoices, payment records and tax documents โ€” for as long as the law requires.
  • After an engagement ends we keep your record so we can answer questions about past work and payments. You can ask us to close it, and what remains is the financial record we are required to keep.

Confidentiality

  • Anything you learn about a client, their customers, their systems or their plans through this platform is confidential. Do not repeat it, publish it, or use it for anything other than the work.
  • This survives the engagement. It still applies after you stop working with that client and after you stop using Borderless.
  • It does not cover anything that is already public, or anything you knew before, or anything a court or regulator requires you to disclose.

Changes to these terms

  • These terms carry a version, and the version you accepted is stored with your acceptance. You can always read the exact version you agreed to.
  • When we publish a new version we tell you and ask you to accept it. We do not treat carrying on using the platform as agreement to a version you have never been shown.
  • A change never applies backwards. Work already logged, money already owed and cycles already closed are settled under the version that was in force at the time.

Law, disputes and contact

  • Borderless is a United States company based in Albuquerque, New Mexico. These terms are governed by the laws of the State of New Mexico, and the state and federal courts sitting in Bernalillo County, New Mexico have jurisdiction.
  • Nothing here removes a protection that the law of the country you live in gives you and does not allow to be waived. Where the two genuinely conflict on such a protection, your own country's law wins.
  • If something is wrong โ€” a rate, an hour, a payment, a document โ€” raise it with us first and in writing. Most of what looks like a dispute is a number nobody has checked together yet.
